Terms of Service

Please read these Terms of Service carefully before using the Gerad Logistics platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By registering for or using the Gerad Logistics platform ("Platform"), you agree to be bound by these Terms of Service, our Privacy Policy, any shipment-specific terms displayed on the Platform, and any policies incorporated by reference. If you do not agree, you must not use the Platform. These Terms apply to all users of the Platform, including shippers, drivers, fleet owners, dispatchers, brokers, agents, and visitors who access public pages. You represent that you have the legal capacity to enter binding contracts under applicable Ethiopian law.

2. Platform Role

Gerad Logistics is a technology platform that facilitates connections between shippers and truck drivers. Gerad does not itself transport cargo unless expressly stated in a separate written agreement. Gerad is not the owner, operator, or bailee of cargo by default, and the freight service contract is directly between the shipper and the driver or transport provider that accepts the job. Gerad may provide platform tools such as load posting, user verification workflows, messaging, trip status updates, payment facilitation, dispute intake, and document storage.

3. Eligibility, Registration, and Account Security

You must provide accurate, current, and complete registration information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. One account is permitted per person or business entity unless Gerad expressly authorizes additional operational accounts. Gerad may request identity documents, business licenses, vehicle records, tax information, or other compliance documents before activating or continuing an account.

4. Regulatory Compliance and User Responsibility

Users are solely responsible for complying with all applicable Ethiopian laws, regulations, directives, permits, taxes, customs rules, road safety requirements, insurance obligations, and local authority requirements relevant to their operations. Gerad may assist with verification or reminders, but users remain fully responsible for maintaining legal eligibility to ship, transport, receive, invoice, or pay for cargo.

5. Shipper Obligations

Shippers must post only accurate information about the cargo, quantity, weight, dimensions, packaging condition, value where required, pickup and delivery locations, and any special handling instructions. Shippers must not post illegal, undeclared, restricted, dangerous, perishable, oversized, or regulated cargo unless all disclosures, packaging standards, and legal approvals required for that shipment have been satisfied.

6. Driver Obligations

As a driver, you agree to: maintain valid driver's license, truck registration, and insurance; keep your truck in safe operating condition; follow all traffic laws and safety regulations; maintain professionalism; handle cargo with care; provide accurate location updates; and not cancel shipments without valid reason. Drivers must pass background checks and document verification.

7. Payment Terms and Digital-Only Policy

All shipment payments must be completed digitally through the Platform before a driver departs for pickup. Cash payments of any kind are strictly prohibited on the Platform. Payments are processed via Chapa, Addis Pay, and direct bank transfers through licensed Ethiopian financial providers. These gateways support a wide range of methods including Telebirr, CBE Birr, debit/credit cards, and more. Shippers pay the agreed price in full before departure. Gerad holds funds in escrow and releases driver payouts within 24 hours of confirmed delivery after deducting the disclosed platform commission. Processing times may vary by provider.

8. Refunds and Cancellations

If a driver cancels before pickup, the shipper's held payment is fully refunded within 3–5 business days to the original payment method. If a shipper cancels after a driver has been matched and notified, a cancellation fee may apply. Refunds for delivery disputes are determined case-by-case following the dispute review process. No refunds are issued for completed and confirmed deliveries except in proven cases of cargo loss, damage, or material misrepresentation.

9. Dispute Resolution

Either party may file a dispute within 48 hours of the delivery event via the Platform. Gerad support will review GPS trip data, delivery photos, platform communications, and status logs. A decision will be issued within 5 business days and may be appealed within 7 days of issuance. Repeated bad-faith disputes may result in account suspension.

10. Fleet Owner and Fleet Driver Terms

Fleet owners who register their organization agree to: maintain accurate organizational and driver roster information; ensure all enrolled drivers meet eligibility and document requirements; and accept responsibility for the fleet's use of the Platform. Fleet payouts are issued to the registered fleet payout account. Gerad is not responsible for internal earnings disputes between fleet owners and their drivers.

11. Vehicle Types and Service Scope

The Platform supports local and long-distance freight for a range of vehicle types including cargo bikes, tuk-tuks, pickups, cargo vans, box trucks, flatbeds, fenced trucks, container trucks, refrigerated trucks, tankers, livestock trucks, lowbeds, and logging trucks. Shippers must select a vehicle appropriate for their cargo. Drivers may only accept loads suitable for their registered vehicle type.

12. Limitation of Liability

To the fullest extent permitted by law, Gerad Logistics shall not be liable for: indirect, incidental, or consequential damages; loss of profits or business interruption; delays caused by weather, traffic, or force majeure; or lost or damaged goods unless proven negligent.

13. Intellectual Property

All content, features, and functionality of the Gerad Logistics platform are owned by Gerad Logistics or its licensors. You may not reproduce, distribute, or transmit any content without written permission.

14. Suspension and Termination

We reserve the right to suspend or terminate your account if you: violate these Terms of Service; engage in fraudulent activities; pose a safety risk to other users; attempt to facilitate off-platform cash transactions; or repeatedly violate our community standards.

15. Changes to Terms

Gerad Logistics may update these Terms of Service at any time. We will notify users of significant changes via email or app notification. Continued use of the Service constitutes acceptance of updated terms.

16. Governing Law

These Terms of Service are governed by the laws of Ethiopia. Any disputes shall be resolved in the courts of Addis Ababa.
